This Equity Crowdfunding Investor Agreement ("Agreement") is made between Hues & Tartans ("Company"), a [State of Incorporation] company, and the investor ("Investor") agreeing to the terms herein.

By contributing funds to the Company’s equity crowdfunding campaign (the "Campaign"), the Investor acknowledges and agrees to the following terms:

1. Investment Terms

1.4 Compliance with Laws: The Investor certifies that they comply with all applicable laws, including eligibility under relevant securities regulations

2. Representations and Warranties

2.1 Investor Information: The Investor certifies that all information provided during the contribution process, including name, contact information, and payment details, is accurate and complete.

2.2 Accredited Investor Status: If required, the Investor represents that they meet the criteria for an accredited investor under applicable securities laws or regulations.

2.3 Funds Ownership: The Investor affirms that the funds provided for the Investment are lawful and belong solely to them.

2.4 Risk Acknowledgment: The Investor acknowledges that investing in startups or early-stage ventures involves significant risks, including but not limited to loss of capital, liquidity, and dilution of ownership.

3. Payment and Security

3.1 Payment Processing: All payments will be processed securely through the Company’s designated payment platform.

3.2 Accepted Payment Methods: The Investor may use Visa, Master card, American Express, Discover, or alternative payment methods specified in the Campaign.

3.3 Data Security: The Company implements industry-standard encryption to protect payment and personal data. However, the Company is not liable for unauthorized access or breaches caused by third parties.

4. Investor Rights and Obligations

4.1 Shareholder Agreement: The Investor agrees to be bound by the terms of the Company’s shareholder agreement, which will be provided upon confirmation of the Investment.

4.2 Project Updates: The Investor consents to receive periodic updates regarding the Campaign’s progress and the Company’s performance.

4.3 Transfer of Shares: Shares acquired through this Campaign are subject to transfer restrictions as outlined in the shareholder agreement.

5. Legal and Compliance

5.1 Tax Obligations: The Investor is solely responsible for understanding and fulfilling any tax obligations resulting from this Investment.

5.2 Anti-Money Laundering (AML): The Investor agrees to comply with AML and Know Your Customer (KYC) procedures if required.

5.3 Jurisdiction: This Agreement is governed by the laws of [Jurisdiction], and any disputes arising hereunder shall be resolved in the courts of [Jurisdiction].

6. Miscellaneous
